Notification of Transactions of Directors/ Persons Discharging Managerial
Responsibilities ("PDMRs") and persons closely associated with them
TBC Bank Group PLC ("TBC PLC") announces that ordinary shares have been
transferred to the below-listed Persons Discharging Managerial
Responsibilities ("PDMRs"), as set out below. The transfers were made under
the Company's Combined Incentive Plan and under the Company's Deferred Share
Plan.
The shares transferred to the PDMRs form part of their bonus awards for the
2025 performance year. In the case of Ivane Gulmagarashvili, the shares were
transferred as part of his joining compensation arrangements and were not
awarded under the Company's Combined Incentive Plan or Deferred Share Plan.
