Appointment of Chief Executive Officer

 

Technologies New Energy plc (LSE: TNE), the energy transition company focused
on developing clean energy projects to drive industrial decarbonisation for
clients with international business operations, announces the appointment of
Julio Perez as Chief Executive Officer ("CEO"), with immediate effect from 27
June 2025, following a recommendation by the nomination committee of the
Company's board of directors ("Board"; "Directors"; "Nomination Committee"),
and approval by the Board.

 

Julio has over 15 years of experience as a global investment professional,
with a particular focus on the clean and renewable energy sectors. He has
direct, hands-on expertise in the origination, development, acquisition and
management of renewable energy projects, covering all stages from initial
conception and structuring through construction to long-term operations.

 

He has worked in investment banking at HSBC in London, before moving into
senior advisory roles within the clean and renewable energy sectors. Julio has
been involved in projects totalling over 900 megawatts of solar and 350
megawatts of wind capacity. His key clients have included corporates, publicly
listed companies, and investment funds, advising on mergers and acquisitions,
capital raising and power purchase agreements.

 

Through this work, Julio has developed strong relationships with leading
lenders, asset owners and investors across the global renewable energy sector.
Prior to joining TNE, he was with Codex Capital Partners Limited, where he was
responsible for originating, structuring, and executing investment
opportunities within the energy transition sector.

 

The Nomination Committee has confirmed that Julio Perez:

·    Has prior experience as a board member of a publicly listed company
on the London Stock Exchange and a strong understanding of corporate
governance and compliance obligations in a listed environment;

 

·    Demonstrated exceptional alignment with the Company's values and
possesses a proven leadership track record in the renewable energy and energy
transition sectors, supporting TNE's immediate growth objectives;

 

·    Previously served as a Director from its inception on 11 October 2021
until 30 April 2025. During this period, he founded the Company, led its
initial public offering ("IPO") as a Special Purpose Acquisition Company
("SPAC"), originated and completed the acquisition of Technologies New Energy
S.A., and oversaw the Company's successful readmission to the main market for
listed securities of London Stock Exchange plc (the "London Stock Exchange");
and

 

·    Has continued to support TNE in the role of a management consultant
since stepping down from the Board and has remained closely involved with the
Company's operations and strategy.

 

The Nomination Committee considers Julio's combination of historical
leadership and continued advisory support to be uniquely valuable and
well-suited to the Company's current strategic direction. The Nomination
Committee is satisfied that the appointment is aligned with TNE's long-term
objectives.

 

José Meneses, who previously held the role of Chief Executive Officer, will
remain with the Company as Executive Chairman and Director.

Julio Isaac Perez has not held any directorships of any company (other than
the Company and its subsidiaries) or partnerships within the last five years,

persons closely associated (for the purposes of purposes of Regulation
(596/2014), which is part of UK law by virtue of the Market Abuse (Amendment)
(EU Exit) Regulations 2019 (SI 2019/310)) directly or indirectly hold or are
beneficially interested in any ordinary shares of nominal value £0.10 each in
the capital of the Company ("Ordinary Shares") or warrants exercisable into
Ordinary Shares.
