Exercise of Options, Issue of New Ordinary Shares and Total Voting Rights

Tekmar Group plc (AIM: TGP), the leading provider of technology and services for the global offshore energy markets, confirms that the Company has issued a total of 203,934 new ordinary shares of 1 pence each ("New Ordinary Shares") to those PDMRs listed in the table below, pursuant to the exercise of options under the Company's Share Option Plan.

Application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM ("Admission").  The New Ordinary Shares will rank pari passu with the existing Ordinary Shares and it is expected that Admission will become effective on or around 8.00 a.m. on 24 October 2025.

Following Admission, the Company's enlarged issued share capital will comprise 139,092,671 ordinary shares with voting rights in the Company. As the Company holds no shares in treasury, this figure of 139,092,671 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change in the interest, in the share capital of the Company under Chapter 5 of the FCA's Disclosure Guidance and Transparency Rules as reflected in the Company's articles of incorporation.
