Notice to the Holders of the EUR 500,000,000 5.875 per cent. Instruments due 2033 unconditionally and irrevocably guaranteed by Telefónica, S.A. (together the "Securities")
NOTICE OF CHANGE OF STOCK EXCHANGE
Introduction
The EUR 500,000,000 5.875 per cent. Instruments due 2033 issued by the Issuer are unconditionally and irrevocably guaranteed by Telefónica, S.A. The Instruments are admitted to the official list of the United Kingdom Financial Conduct Authority and admitted to trading on the Regulated Market of the London Stock Exchange plc (the "London Stock Exchange"). Notice is hereby given to the holders of the Instruments that the Issuer intends to move the listing of the Instruments to Ireland so that they are admitted to trading on the regulated market (the "Main Securities Market") of the Irish Stock Exchange plc trading as Euronext Dublin ("Euronext Dublin").  
Rationale
 
As a result of the high uncertainty around the future outcome of the relationship between Europe and the UK and the risks associated with this including, among others, that the London Stock Exchange may cease to constitute a regulated market for the purposes of Directive 2014/65/EU (an "EEA Regulated Market"), the Issuer has decided to move its outstanding Instruments to the Main Securities Market in Ireland in order to protect the Issuer, Telefónica, S.A. (as guarantor) and holders of the Instruments against any potential adverse consequences, and to ensure that its Instruments continue to remain listed on an EEA Regulated Market.
As with the London Stock Exchange's Regulated Market, the Main Securities Market is also an EEA Regulated Market. As such, the change of the listing of the Instruments is not expected to have any impact on the holders of the Instruments.
Next steps and further information
The Issuer has applied for the Instruments to be admitted to listing on the official list and to trading on the Main Securities Market of Euronext Dublin.
