Rule 19.6(c) confirmation with respect to stated post-offer intention
statements for Ten Entertainment Group PLC

Bidco, a company indirectly owned by investment funds advised by Trive Capital
Partners LP, announces that, further to the completion of its recommended
acquisition of the entire issued and to be issued share capital of Ten
Entertainment Group PLC ("TEG"), which was implemented by means of a
court-sanctioned scheme of arrangement under Part 26 of the Companies Act
2006, and which became effective on 23 January 2024, Bidco has duly confirmed
in writing to the Panel on Takeovers and Mergers in accordance with the
requirements of Rule 19.6(c) of the Code that Bidco has complied with its
post-offer statements of intent made pursuant to Rules 2.7(c)(viii) and 24.2
of the Code, as originally set out in its announcement of 6 December 2023 and
the Scheme Document published on 19 December 2023.

 

Unless otherwise defined in this announcement, capitalised words and phrases
used in this announcement shall have the same meanings given to them in the
Scheme Document.
