Tesco PLC (the "Company")

 

Release of shares granted under Listing Rule 9.4.2

On 13 April 2022, Imran Nawaz, an Executive Director, received 40,825 Ordinary
shares of 6 1/3 pence each in the Company upon their release from Tranche 3 of
his buyout award granted under a Listing Rule 9.4.2 arrangement on 4 May 2021
(see announcement made on 6 May 2021).

 

This represents the gross number of shares released including dividend
equivalent shares which have accrued between grant and vesting.  Of those
shares released, 19,699 shares have been withheld to cover Income Tax and
National Insurance Contributions due on release. The net shares have been
transferred to Imran and must be retained under the Company's Shareholding
Policy.

 

Release of shares under the Tesco PLC Performance Share Plan 2011

On 13 April 2022, Gerry Mallon, a member of the Company's Executive Committee,
received 48,197 Ordinary shares of 6 1/3 pence each in the Company upon their
release from share awards granted under the rules of the Tesco PLC Performance
Share Plan 2011 on 13 August 2018.

 

This represents the gross number of shares released including dividend
equivalent shares which have accrued between grant and vesting.  Of those
shares released, 23,738 shares have been withheld to cover Income Tax and
National Insurance Contributions due on release. The net shares have been
transferred to Gerry and are subject to post-vesting holding period of six
months.

 

The share price on release of the above awards was 265.20 pence per share.

 

The Notification of Dealing Form for each PDMR can be found below.  This
announcement is made in accordance with Article 19 of the Market Abuse
Regulation 596/2014.
