The Company has been notified that on 28 June 2024, the Trustees of the SIP
Plan purchased Ordinary shares of 6⅓ pence each in the Company under the
SIP's Dividend Re-Investment scheme on behalf of the following PDMRs:

3. Release of shares under the Tesco PLC Performance Share Plan 2011
On 1 July 2024, Gerry Mallon, a member of the Company's Executive Committee,
received 18,199 Ordinary shares of 6 1/3 pence each in the Company upon their
release from a share award granted under the rules of the Tesco PLC
Performance Share Plan 2011 on 13 August 2018.
This represents the gross number of shares released including dividend
equivalent shares which have accrued between grant and vesting. Of those
shares released, 9,100 shares have been withheld to cover Income Tax and
National Insurance Contributions due on release. The net shares have been
transferred to Gerry Mallon and are subject to post-vesting holding period of
six months.
The share price on release was 307.30 pence per share.

made in accordance with the UK Market Abuse Regulation (Regulation (EU)
596/2014, as it forms part of domestic law by virtue of the European Union
(Withdrawal) Act 2018).
