TESCO PLC - TOTAL VOTING RIGHTS AND CAPITAL
In accordance with the requirements of the FCA's Disclosure Guidance and Transparency Rule 5.6.1, Tesco PLC (the "Company") hereby notifies the market that the Company's issued share capital as at 30 November 2017 consisted of 8,190,790,433 ordinary shares of5 penceeach. Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of the Company. The Company does not hold any ordinary shares in treasury. Therefore the total number of voting rights in the Company is 8,190,790,433.
The above figure may be used by shareholders and others with notification obligations as their denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's DisclosureGuidance and Transparency Rules.
RULE 2.9 ANNOUNCEMENT - RELEVANT SECURITIES IN ISSUE 
In addition to the above, and in accordance with Rule 2.9 of the Takeover Code, the Company confirms that, as at 30 November 2017, it had 8,190,790,433 ordinary shares of 5 pence each in issue and admitted to trading on the London Stock Exchange and the Irish Stock Exchange. The Company currently holds no ordinary shares in treasury. The Company's International Securities Identification Number ("ISIN") is GB0008847096. The Company has an ADR programme. Each ADR represents three ordinary shares of 5 pence each. The ADRs have the trading symbol TSCDY and ISIN US8815753020.
