Transaction in own shares

Tesco PLC (the "Company") announces that on 13 May 2022 it has purchased, in
accordance with the authority granted by shareholders at the 2021 Annual
General Meeting of the Company, the following number of ordinary shares of 6
1/3 pence pursuant to its up to £750 million share buyback programme, the
details of which was announced on 13 April 2022.

The purchased shares will be cancelled.

 Description of shares:                 Tesco PLC - ordinary shares of 6 1/3 pence
 Date of transaction                    13 May 2022
 Number of Shares purchased:            1,000,000
 Average price paid per Share (pence):  278.57p
 Highest price paid per Share (pence):  281.00p
 Lowest price paid per Share (pence):   275.30p
 Broker:                                Citigroup Global Markets Limited

Following the purchase of these shares, the remaining number of ordinary
shares in issue will be 7,608,351,905. The Company does not hold any ordinary
shares in Treasury.

The figure of 7,608,351,905 may be used by shareholders (and others with
notification obligations) as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change to their interest in, the Company under the Disclosure and Transparency
Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 as it
applies in the UK (the Market Abuse Regulation), a full breakdown of the
individual purchases is attached to this announcement.
