 * I) subscription of new shares under general mandate and (II) memorandum of 
   understanding in respect of a proposed formation of a joint venture company 
    0383.HK  
 * Says entered into the subscription agreement with cm international, as the subscriber 
 * Says gross proceeds from the subscription are expected to be hk$900 million 
 * Pursuant to deal, subscriber agreed to subscribe for 2 billion subscription shares at subscription price of hk$0.45 per share 
 * Says intends to use the net proceeds from the subscription for reduction of borrowings of the group
