Exercise of options and Director/PDMR shareholding

Titon Holdings Plc (the "Company"), announces that Mr. K Ritchie, Chairman of
the Company and Mr. N Howlett, Non-Executive Director, on 5(th) August 2022
exercised options over 50,000 and 25,000 ordinary shares of 10 pence each in
the Company ("Ordinary Shares") respectively at an exercise price of 58 pence
each. Following this exercise, the total beneficial interest of Mr. K Ritchie
and persons closely associated with him is 1,031,381 Ordinary Shares,
representing 9.2 per cent. of the Company's issued share capital. The total
beneficial interest of Mr. N Howlett and persons closely associated with him
is 63,500 Ordinary Shares, representing 0.6 per cent. of the Company's issued
share capital.

To satisfy the exercise of these share options, 50,000 Ordinary Shares will be
issued from treasury on 12 August 2022. Application has also been made to the
London Stock Exchange for the admission of 25,000 new Ordinary Shares to
trading on AIM and admission is expected to take place at 8.00am on 12 August
2022 ("Admission"). Following Admission, the total number of Ordinary Shares
in issue will be 11,218,750, each carrying the right to one vote, and the
Company will hold no Ordinary Shares in treasury. Consequently, shareholders
should use the figure of 11,218,750 Ordinary Shares as the denominator for
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in the Company, under the
Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
