Notice of General Meeting

 

 

Tlou Energy Limited, wishes to advise that it will be holding a General
Meeting of the Company at BDO, Level 10, 12 Creek Street, Brisbane QLD 4000,
Australia on 22 December 2023 at 9.00am (AEST).

 

The Notice of Annual General Meeting, which contains an explanatory
memorandum, has been sent to shareholders and is available for download on the
Company's website: www.tlouenergy.com/reports

 

Resolution 1: Approval to issue Convertible Loan to ILC Investments Pty Ltd

To consider and, if thought fit, to pass, with or without amendment, the
following resolution, as an Ordinary Resolution:

"That, subject to approval by Shareholders of Resolution 2, for the purposes
of ASX Listing Rule 10.11 and for all other purposes under the Listing Rules,
approval is given for the Company to issue the Convertible Loans to ILC
Investments Pty Ltd on the terms and conditions set out in the Explanatory
Statement."

Resolution 2: Approval to issue Convertible Loan ILC BC Pty Ltd

To consider and, if thought fit, to pass, with or without amendment, the
following resolution, as an Ordinary Resolution:

"That, subject to approval by Shareholders of Resolution 1, for the purposes
of ASX Listing Rule 10.11 and for all other purposes under the Listing Rules,
approval is given for the Company to issue the Convertible Loans to ILC BC Pty
Ltd on the terms and conditions set out in the Explanatory Statement."
