PDMR Shareholdings

 

TMT Investments Plc (AIM: TMT.L), the venture capital company investing in high-growth technology companies, announces that it was notified today that, on 21 April 2021, Artemii Iniutin, TMT's Head of Investments, acquired from German Kaplun, TMT's Head of Strategy, an indirect interest of approximately 1.84% of the issued ordinary shares of no par value each in the Company ("Ordinary Shares") at a price of US$9.13 per Ordinary Share (the "Acquisition").

 

The Acquisition results from the sale by Mr. Kaplun to Mr. Iniutin of 7.88% of the issued share capital of MacMillan Trading Company Limited which holds an interest of 23.36% in the issued share capital of TMT.

 

As a result of the Acquisition, and following the settlement of the previous acquisitions by Mr. Iniutin of 863,647 Ordinary Shares announced on 6 April 2021 (expected to settle in the coming weeks) (the "Previous Acquisitions"), Mr. Iniutin will be interested in, in aggregate, 3,509,096 Ordinary Shares, representing approximately 12.02% of the Company's issued ordinary share capital.

 

Accordingly, as a result of the Acquisition, Mr. Kaplun becomes interested in, in aggregate, 6,724,857 Ordinary Shares, representing approximately 23.04% of the Company's issued share capital.

 

Following the Acquisition and settlement of the Previous Acquisitions, the TMT shareholdings of the members of the concert party, as defined in the City Code on Takeovers and Mergers (the "Code"), which currently exists in the Company, will change as follows (based on the latest information available to the Company and assuming no other changes in the shareholdings of the members of the concert party will take place before the settlement of the Previous Acquisitions):

Since September 2013, when the Company became subject to the Code, the concert party has been interested in, in aggregate, more than 50% of the Company's issued share capital at all times.

 

As a result of the Acquisition and upon settlement of the Previous Acquisitions, the total direct and indirect interest in TMT by the concert party's beneficial holders will be as follows (assuming than no other changes in shareholdings of the members of the concert party will take place before the settlement of the Previous Acquisitions):
