Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")
and
Total Voting Rights
PDMR Transaction
The Company has received notice that on 15 January 2018, Brian Linnington, a PDMR, exercised nil-cost share options in respect of 205,279 ordinary shares of 3.33 pence each in the capital of the Company ("Ordinary Shares") in accordance with the rules of the Topps Tiles 2013 Long Term Incentive Plan (the "Exercise").
Following the Exercise, the Company received notice that Brian Linnington had sold 205,279 Ordinary Shares.
To satisfy the Exercise, The Topps Tiles Employee Benefit Trust (the "EBT") transferred 205,279 Ordinary Shares to satisfy the Exercise.
Certain other employees, none of which were PDMRs, have also exercised options over a total of 248,890 Ordinary Shares in accordance with the rules of the Topps Tiles 2013 Long Term Incentive Plan. Following the exercise of these options the EBT transferred a further 248,890 Ordinary Shares to satisfy the awards.
Issued Share Capital and Total Voting Rights
The Company also announces that its total issued share capital as at the 17 January 2018 consists of 196,437,298 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in Treasury.
Following the transfers reported above the EBT now holds 2,908,474 Ordinary Shares and has waived its right to exercise its voting rights and to receive dividends in respect of these Ordinary Shares. Accordingly the total number of voting rights in the Company will be 193,528,824. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
