Publication of Final
Terms

The Toronto-Dominion Bank has agreed to issue HKD 1,250,000,000 2.75 per cent.
Senior Notes due 18 March 2027 (the "Notes") pursuant to its
U.S.$40,000,000,000 Global Medium Term Note Programme (the "Programme").

 

The following documents constitute the final terms in respect of the Notes
dated 16 March 2026 (the "Final Terms") and relating to the admission to
trading of the Notes for the purposes of Article 8 of Regulation (EU)
2017/1129 as it forms part of United Kingdom domestic law by virtue of the
European Union (Withdrawal) Act 2018, as amended, and must be read in
conjunction with the Prospectus dated 1 August 2025, as supplemented by the
(i) first combined supplementary prospectus dated 29 August 2025; (ii) the
second combined supplemental prospectus dated 26 September 2025; (iii) the
third combined supplemental prospectus dated 5 December 2025 and the first
GMTN supplementary prospectus dated 27 February 2026, relating to the
Programme (together, the "Prospectus"). Full information on The
Toronto-Dominion Bank and the offer of the Notes is only available on the
basis of the combination of the Final Terms and the Prospectus.
