The Toronto-Dominion Bank has agreed to issue EUR 2,000,000,000 Floating Rate
Senior Notes due January 2025, Series EMTN2022-6 (the "Notes") pursuant to its
U.S.$20,000,000,000 Programme for the Issuance of Notes (the "Programme").

 

The following documents constitute the final terms in respect of the Notes
dated 18 January 2023 (the "Final Terms") relating to the admission to trading
of the Notes for purpose of Article 8 of Regulation (EU) 2017/1129 as it forms
part of domestic law by virtue of the European Union (Withdrawal) Act 2018 and
must be read in conjunction with the Prospectus dated 30 June 2022, as
supplemented by the combined supplementary prospectuses dated 26 August 2022
and 5 December 2022, relating to the Programme (together, the "Prospectus").
Full information on The Toronto-Dominion Bank and the offer of the Notes is
only available on the basis of the combination of the Final Terms and the
Prospectus.
