Publication of Final Terms

 

The following Final Terms are available for viewing:

 

The Toronto-Dominion Bank has issued EUR 750,000,000 Floating Rate Covered
Bonds due September 8, 2026 (the "Series CBL53 Covered Bonds"), EUR
1,500,000,000 3.765% Covered Bonds due September 8, 2026 (the Series CBL54
Covered Bonds") and EUR 1,000,000,000 3.666% due September 8, 2031 (the Series
CBL55 Covered Bonds")   pursuant to its CAD $80,000,000,000 Global
Legislative Covered Bond Programme, unconditionally and irrevocably guaranteed
as to payments by TD Covered Bond (Legislative) Guarantor Limited Partnership
(the "Programme").

 

The following documents constitute the final terms dated September 8, 2023
relating to the issue of Series CBL53 Covered Bonds (the "Series CBL53 Final
Terms"), the issue of Series CBL54 Covered Bonds (the "Series CBL54 Final
Terms") and the issue of Series CBL55 Covered Bonds (the "Series CBL55 Final
Terms", together with the Series CBL53 Final Terms and Series CBL54 Final
Terms, the "Final Terms") for the purpose of Article 8 of Regulation (EU)
2017/1129, as amended, as it forms part of United Kingdom domestic law by
virtue of the European Union (Withdrawal) Act 2018, as amended, and must be
read in conjunction with the Prospectus dated June 30, 2023, as supplemented
by a 1(st) combined supplementary prospectus dated August 25, 2023 (the
"Prospectus"). Complete information on The Toronto-Dominion Bank and the
offering of Series CBL53 Covered Bonds, Series CBL54 and Series CBL55 Covered
Bonds can only be obtained by reading the relevant Final Terms together with
the Prospectus.

 

UK MiFIR and MiFID II professional investors / ECPs only / No PRIIPs KID -
Manufacturer target market (UK MiFIR product governance and MiFID II product
governance) is eligible counterparties and professional clients only (all
distribution channels). No PRIIPs key information document (KID) has been

The Final Terms have been submitted to the National Storage Mechanism and will
shortly be available for inspection at:

The Final Terms have been filed with the Financial Conduct Authority and are
