Change in notifiable holding by Directors of TCS PLC
The Company has been notified by Benjamin Ziff, Executive Director and Michael Ziff, Non-Executive Director, that they have received TCS shares by way of transfer from Dr Marjorie Ziff. Benjamin Ziff received 35,000 shares, and Michael Ziff received 80,000 shares representing 0.07% and 0.15% of the Company's issued share capital respectively. The shares were transferred on 18 March 2020 and the Company was informed that this transfer had completed on 18 March 2020.
Following these changes: 
1.   Benjamin Ziff's shareholding in TCS now totals 335,443 of beneficial shares, equating to 0.6% of the total issued share capital.
2.   Michael Ziff's shareholding in TCS now totals 2,619,081 beneficial shares and 7,685,121 non-beneficial shares. These holdings equate to 4.9% and 14.5% respectively of the total issued share capital.
The Ziff Concert Party, the composition of which has previously been agreed with the Takeover Panel, comprises three Directors, Edward Ziff, Michael Ziff and Benjamin Ziff, and Edward's and Michael's immediate families including their sister, their mother, their children and a number of trusts of which they are both trustees. These transfers do not change the Ziff Concert Party's shareholding in TCS which totals 51.3% of the total issued share capital.
