Brief: Trans Polonia signs investment deal with Syntaxis for ORLEN Transport and Petrotrans acquisition financing

Jan 15 (Reuters) - Trans Polonia SA  TRNP.WA : 
    * Said on Thursday that together with its affiliated unit, 
Euro Investor sp. z o.o., signed an investment agreement with 
Luxembourg-based Syntaxis II Luxembourg Capital S.a r.l. 
(Syntaxis) 
    * Under the investment agreement Trans Polonia will receive 
proceeds for partial financing of acquisition of 100 percent 
stakes in ORLEN Transport SA and Petrotrans s.r.o.  
    * The investment agreement envisages double conduct of the 
company's extraordinary meeting of shareholders to vote on Trans 
Polonia's capital increase 
    * The proceeds from the first Trans Polonia's capital 
increase will be allocated for acquisition of ORLEN Transport SA 
    * Under first capital increase, Syntaxis is obliged to 
acquire at least 1,416,667 new shares and Euro Investor sp. z 
o.o. 4,915,000 new shares of Trans Polonia at issue price of 3.0 
zloty each, moreover Syntaxis is eligible to acquire 792,711 
shares under conditional capital increase 
    * Syntaxis will sign also a loan agreement, denominated in 
euro, with TP sp. z o.o. of value equal to about 20.0 million 
zlotys  
    * The proceeds from the second Trans Polonia's capital 
increase will be allocated for acquisition of Petrotrans 
    * Under second capital increase, Syntaxis is obliged to 
acquire at least 250,000 new shares and Euro Investor sp. z o.o. 
575,000 new shares of Trans Polonia at issue price fo 3.0 zloty 
each share, moreover Syntaxis is eligible to acquire 210,444 
shares under conditional capital increase 
    * Syntaxis will sign also a loan agreement, denominated in 
euro, with Trans Polonia or its unit of value equal to about 3.5
