2026 PSP Awards

 

The Company announces that on 16 April 2026 ("PSP Grant Date"), awards in respect of ordinary shares of 11.205105p each in the Company ("Shares") were granted by way of conditional awards under the Travis Perkins Plc Performance Share Plan ("PSP") to PDMRs as set out below:

The number of Shares subject to the conditional awards has been calculated using a share price of £5.784 (being the average market price of the Shares over the three dealing days immediately preceding the PSP Grant Date).  No consideration was paid for the grant of the awards.

 

The  awards are subject to performance conditions. Performance will be measured over a three-year period (2026-2028) and the awards will then vest to the extent the performance conditions are met.  The awards granted to Duncan Cooper and Gavin Slark are subject to a two-year-post-vesting holding period.

 

In the event that dividends are paid in the period from PSP Grant Date until the vesting date (or, where the Award is subject to a holding period, from the PSP Grant Date until the last day of the holding period), the number of awards will be increased to reflect the dividends that would have accrued had they been reinvested in shares. 

 

2026 DSBP Award

 

In addition, the Company confirms that on 16 April 2026 ("DSBP Grant Date"), the following awards in respect of ordinary shares of 11.205105p each in the Company were made by way of conditional awards under the Travis Perkins Plc 2017 Deferred Share Bonus Plan ("DSBP") in respect of the annual deferred bonus for the 2025 Financial Year to PDMRs as set out below-

The number of shares subject to the conditional awards has been calculated using a share price of £6.2136, being the average mid-market closing price of the Company's Shares over the Dealing Days falling within the last 30 days of the financial year ending 31 December 2025.

 

In the event that dividends are paid in the period between DSBP Grant Date and vesting, the number of shares awarded will be increased to reflect the dividends that would have accrued had they been reinvested in shares.
