2022 General Meeting
The Company has today published and circulated to shareholders a notice of
General Meeting of the Company ("GM") and related explanatory circular. The
notice, which is contained in the circular, convenes a GM of the Company at
the offices of Investec, 30 Gresham St, London EC2V 7QP (Room 616) on 22 June
2022 at 8.30am.

The Company is holding the GM to pass an ordinary resolution to declare the
final dividend of 1.3p. The dividend timetable remains unchanged to that
announced within the Final Results released in March 2022.
This has become necessary as the board of directors of the Company has become
aware that the distributable profits as determined by reference to the annual
accounts for the year ended 31 December 2021 were not sufficient to justify
the final dividend declared by resolution 2 passed at the Annual General
Meeting, and the interim accounts had not been filed at Companies House,
accordingly the distribution of at least a part of such dividend would not be
in accordance with the Companies Act 2006. The Company has since prepared and
filed interim accounts by reference to which payment of a final dividend of
1.3p per ordinary share can be justified.
The Company is also seeking the approval of a special resolution to approve
the cancellation of the Company's share premium account, which amount shall
then be credited to the Company's distributable reserves and facilitate
possible future dividend payments.
The issue is of an historic nature and there is no change to the financial
outlook of the Company as a consequence of this technical matter. No other
distribution made in the financial year has been affected and no fines or
other penalties have been incurred by the Company. The Company's past accounts
will not need to be restated.
