("Tribal" or the "Company")

Issue of Equity

 

 

Tribal (AIM: TRB), a leading provider of software and services to the
international education market, announces that it has approved the issue of
297,308 new ordinary shares ("New Shares") of 5p each in the Company pursuant
to the exercise of options issued to senior management and employees under the
terms of the Company's 2018 Long Term Incentive Plan.

When issued, the new Ordinary Shares will be credited as fully paid and will
rank pari passu in all respects with the existing ordinary shares of five
pence each in the capital of Tribal.

It is expected that admission will become effective on 26 September 2022.

Total voting rights

The total enlarged issued share capital of the Company following Admission
will be 211,964,676 ordinary shares. The Company does not hold any ordinary
shares in treasury. Therefore, the total number of ordinary shares in the
Company with voting rights will be 211,964,676. This figure may be used by
shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to
their interest in, the share capital of the Company under the Disclosure and
Transparency Rules of the UK Financial Conduct Authority.
