Tribal Group plc

("Tribal", the "Company" or the "Group")

Withdrawal of AGM Resolutions

Tribal (AIM: TRB) advises that it has withdrawn the following special resolutions from the agenda of the Annual General Meeting of the Company's shareholders scheduled to be held at 11.00am tomorrow (24 April 2018):

·     Resolution 10 - to disapply pre-emption rights

·     Resolution 11 - to authorise the Company to buy back shares

·     Resolution 12 - to authorise the holding of general meetings on not less than 14 clear days' notice

These resolutions are enabling resolutions that do not affect the strategy or the day-to-day running of the business and have been withdrawn following indications from a small number of significant shareholders in the Company that they do not support these resolutions.

The withdrawal of these items of business does not affect the validity of the remainder of the resolutions to be proposed at the Annual General Meeting, or to proxy forms submitted in respect of the remaining resolutions to be put to shareholders for approval.
