Post-stabilisation Period Announcement
Further to the pre-stabilisation period announcement dated 29 April 2021, Morgan Stanley & Co. International plc (contact: Mikolaj Zieleznik; telephone: +44 20 7677-7863) hereby gives notice that no stabilisation (within the meaning of Article 3.2(d) of the EU Market Abuse Regulation (596/2014), including as it forms part of domestic law by virtue of the European Union (Withdrawal) Act 2018) was undertaken by the Stabilisation Manager(s) named below in relation to the offer of the following securities.

Allied Universal Holdco LLC
Allied Universal Finance Corporation




Guarantor (if any):


On the issue date, the notes will be fully and unconditionally guaranteed, jointly and severally, by (i) each of the Allied issuer's existing and future wholly-owned U.S. restricted subsidiaries that guarantee the Existing Senior Secured Credit Facilities and the New Senior Secured Credit Facilities or that guarantee certain capital markets debt securities of the issuers or any guarantor and (ii) each Issue Date Foreign Subsidiary Guarantor (subject to certain exceptions and in accordance with the agreed security principles). In addition, certain Luxembourg and U.K. subsidiaries of the Allied issuer will guarantee the notes within the later of (i) 150 days after the issue date and (ii) the date on which such foreign subsidiaries provide a guarantee under the Existing Senior Secured Credit Facilities and the New Senior Secured Credit Facilities (subject to certain exceptions and in accordance with the agreed security principles). The guarantees are subject to release under specified circumstances.
