** Shares of online travel company Tripadvisor TRIP.O up more than 4% at about $10 in morning trading

** Co signs cooperation agreement with activist investor Starboard Value and expands its board from eight to 10 directors

** Tripadvisor adds Dhiren Fonseca and Andrew Cates to its board, effective immediately, as part of agreement

     ** Starboard will recommend two additional directors for election at co's annual stockholders meeting

** Including session's moves, stock has fallen 33.1% YTD
