2019 Annual Report and references to the 2019 final dividend

The Unite Group plc announces that our 2019 Annual Report, including the Notice of 2020 Annual General Meeting, is available on the Company's website: http://www.unite-group.co.uk/investors.  Printed copies will be posted to those shareholders who have requested it.

 

The Company's Coronavirus Update on 25 March 2020 announced the Board's decision to cancel the 2019 final dividend.  Consequently, references to the 2019 final dividend in the 2019 Annual Report (dated 26 February 2020 and predating the Coronavirus Update) should be disregarded.

 

2020 Annual General Meeting

The Company's 2020 AGM is scheduled to be held on Thursday 7 May 2020 at the Company's registered office.  The Notice of AGM is included with the 2019 Annual Report (available at: http://www.unite-group.co.uk/investors).

 

As the situation with the Coronavirus evolves, the Company continues to follow Public Health England advice and guidelines.  In light of the Government's most recent "Stay at Home Measures" announced on 23 March 2020, the Company notes that public gatherings of more than two people are not permitted.  Accordingly, shareholders are not permitted to attend the meeting in person but should vote remotely on the resolutions by completing the Form of Proxy and returning it to Computershare (the Company's registrars) as soon as possible and by no later than 9.30 am on Tuesday, 5 May 2020.

 

Due to the extremely challenging circumstances, our 2020 AGM will only comprise the formal resolutions set out in the Notice of AGM and not a wider discussion about business performance or Q&A.  The AGM will be convened with the minimum necessary quorum of two shareholders present in order to conduct the business of the meeting. All valid proxy votes (whether submitted electronically or in hard copy form) will be included in the poll to be taken at the meeting. The results of the poll votes on the proposed resolutions will be announced as soon as practicable after the conclusion of the AGM.

 

The Company is closely monitoring the Coronavirus situation, including the Government's measures, and will continue to do so ahead of the AGM. In the event that further disruption to the AGM becomes unavoidable, we will announce any changes as soon as practicably possible through the Company's website.

Copies of the 2019 Annual Report and the 2020 Notice of AGM have been submitted to the National Storage Mechanism and will shortly be available for inspection at: http://www.morningstar.co.uk/uk/NSM.
