 * Lender and the borrower entered into the loan agreement 
 * Lender had agreed to grant to the borrower, an independent third party, an  unsecured loan in the principal amount of hk$55 million 
 * Says reference is made to the announcement of the company dated 13 October 2014 
 * Intends to apply the net proceeds of approximately hk$60.0 million from the placing for the possible acquisition of COH
