** USFD down nearly 2% at $77.77

** Latest agreement between cos does not indicate any transaction proposal, or any assurance about its outcome or timing - PFGC

** The ingredient distributor attracted takeover interest from US Foods in July, according to a Bloomberg report

** Including session's moves, PFGC shares up about 23% YTD, while USFD up 17.55%
