The notification listed below was received under paragraph 3.1.2 of the UK's Disclosure and Transparency Rules.
Verizon Communications Inc. (the "Company") makes the following announcement:
On February 12, 2016 the restricted stock units for the 2013-2015 award cycle ("RSUs") held by each of the persons discharging managerial responsibility (each a "PDMR") listed below were converted into shares of common stock of the Company (the "Shares"), unless previously deferred by the PDMR. Each RSU represents the right to receive one Share on the payment date, unless deferred by the PDMR. To the extent deferred, each RSU represents the right to have an amount equal to the value of one Share on the payment date credited to the PDMR's deferred compensation plan account and deemed invested in a hypothetical cash-based investment option. Set forth below is the number of RSUs deferred, if any, the number of Shares received by each PDMR upon conversion and the number of Shares received by the PDMR (after the deduction of Shares for tax withholding purposes). Shares were deferred and/or deducted for tax withholding purposes at a price of USD 50.11 per Share.
