Versarien Plc (AIM: VRS), the advanced materials engineering group, is pleased
to confirm that at the Company's General Meeting held earlier today, all
resolutions were duly passed.

The proxy votes cast were as follows:

 1 - to authorise the Directors to allot shares in the Company  8,229,501  91.46%  768,145  8.54%   635,570

 2 - to disapply statutory pre-emption rights                   8,407,461  89.64%  971,844  10.36%  253,911
