 ** Brokerage Stifel downgrades stock to "hold" from "buy", citing  risk/reward balance in shares

** Says the $600 mln Dickies sale will ease capital constraints

** "... a leg higher in shares requires confidence in accelerating fundamentals which we believe could be a year out," brokerage says

** Also raises PT to $16 from $15, betting on divestiture outcome
