Director Declaration

Following the acquisition of Pendal Group by Perpetual Limited, the Company,
in accordance with Listing Rule 9.6.14, announces that Kathryn Matthews, has
retired from the Board of Pendal Group with effect from 23 January 2023 and
has been appointed as a non-executive Director of Perpetual Limited with
effect from 24 January 2023. Perpetual Limited is a company listed on the
Australian Stock Exchange (ASX:PPT).
