Sept 5 (Reuters) - Runway Global Holdings Co Ltd  1520.HK : 
 * Acquisition of the entire issued share capital of Delta Wealth Finance Limited involving issue of consideration shares under specific mandate  
 * Consideration for the sale shares and sale loan are in the sum of HK$63.5 
   million 
 * Vendor, Vendor's Guarantor, Purchaser, a unit of the company and the company 
   entered into the sale and purchase agreement 
 * Vendor has agreed to sell to the purchaser, and the purchaser has agreed to 
   purchase from the vendor, the sale share 
 * Vendor has agreed to assign to the purchaser, and the purchaser has agreed to 
   receive the assignment of, the sale loan 
 * Consideration satisfied in HK$25 million by cash and in HK$38.5 million by 
   issue of 110 million consideration shares at HK$0.35 
 * Vendor is Favor Way Investments; Vendor's Guarantor is Tin Yuen Sin Carol; Target Co is Delta Wealth Finance Limited
