** Shares of VivoPower VVPR.O up 5.4% at 78 cents

** Co plans to spin off of Caret Digital through direct listing on Nasdaq

** VVPR shareholders will be entitled to receive 5 shares of Caret Digital for each VVPR share held

** Co says implied market capitalization of Caret is $250 million

** Says Caret intends to raise $10 million from strategic investors as part of the transaction to support growth plans

** Up to last close, shares down 44.4% YTD
