    * VGH and F.K. entered into JV agreement 
    * Bidding consortium including Vpower Holdings and Telemenia 
received confirmation for winning of three DPG tenders 
    * Agreement in relation to formation of JV company to 
develop and invest into SI and IBO business activities in Latin 
America, Israel 
    * Equity interest in JV company held by VGH and F.K. shall 
be 51 pct and 49 pct, respectively
