("Warpaint", the "Company" or the "Group")
Grant of Options and Director/PDMR Shareholding
Warpaint London plc (AIM: W7L), the specialist supplier of colour cosmetics
and owner of the W7 and Technic brands, announces the grant of options
("Options") on 5 December 2024 over a total of 205,000 Ordinary Shares of 25p
each in the Company ("Ordinary Shares") to three PDMRs under the Warpaint
London PLC share option schemes.
The Options have been granted to Neil Rodol, the Company's Chief Financial
Officer, Sally Craig, the Group's General Counsel & Company Secretary and
Matthew Goldstein, the Managing Director of the Group's subsidiary Retra
Holdings Limited, all of whom are PDMRs. The Options have been granted as
part of their annual remuneration and incentivisation packages. Further detail
on the Options is set out below:

The Options are exercisable at a price of 490 pence per Ordinary Share and are
exercisable from 5 December 2027 until 5 December 2034. The Options are
exercisable subject to certain performance conditions being met, including
that the compound annual growth rate in the Company's Adjusted Basic earnings
per share must exceed 10 per cent. over the three financial years commencing 1
January 2025, subject to the discretion of the Board.
Following these grants the total number of options in issue over Ordinary
Shares is 1,226,842, representing 1.58 % of the Company's issued share capital
of 77,742,723 Ordinary Shares.

Warpaint sells branded cosmetics under the lead brand names of W7 and Technic.
W7 is sold in the UK primarily to major retailers and internationally to local
distributors or retail chains. The Technic brand is sold in the UK and
continental Europe with a significant focus on the gifting market, principally
for high street retailers and supermarkets. In addition, Warpaint supplies
own brand white label cosmetics produced for several major high street
retailers. In additions Warpaint supplies cosmetics using its other brand
names of Man'stuff, Body Collection and Chit Chat, each targeting a different
demographic.
