The Weir Group PLC Scrip Dividend Scheme - Additional Listing
    
The Company confirms the allotment and issue of 2,548,487 ordinary shares of 12.5 pence each in the Company (the Ordinary Shares), at a price of 1161.4 pence per Ordinary Share, to shareholders who are participants in the Company's Scrip Dividend Scheme (the Scrip Scheme) in respect of the final dividend for the 52 weeks ended 1 January 2016. The Ordinary Shares issued rank equally with existing issued ordinary shares in the Company.
    
Application has been made to the Financial Conduct Authority for the Ordinary Shares to be admitted to the Official List and to the London Stock Exchange for the Ordinary Shares to be admitted to trading. Dealings in the Ordinary Shares commenced today, 6 June 2016.

In accordance with the FCA Disclosure and Transparency Rules (the DTR) we hereby notify that subsequent to this share issue the Company's capital consists of 217,227,872 Ordinary Shares in issue. The number of Ordinary Shares held in Treasury is 703,307.
    
Therefore, the total number of voting rights in the Company is 216,524,565.
    
The above figure, 216,524,565, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.
