The Weir Group PLC (the "Company") confirms the allotment and issue of 5,060,237 ordinary shares of 12.5 pence each in the Company (the "New Shares"), at a price of 1,778.57p per New Share, in connection with the acquisition by the Company of KOP Surface Products (as separately announced by the Company on 12 June 2017). The price was determined by reference to the volume weighted average price of the Company's ordinary shares over the period since 12 June 2017. The New Shares issued rank equally with existing issued ordinary shares in the Company.
Application has been made to the Financial Conduct Authority for the New Shares to be admitted to the Official List and to the London Stock Exchange for the New Shares to be admitted to trading. Dealings in the New Shares commenced today, 19 July 2017.
In accordance with the FCA Disclosure Guidance and Transparency Rules (the DTR) we hereby notify that subsequent to this share issue the Company's capital consists of 223,833,393 ordinary shares in issue. The number of ordinary shares held in Treasury is 522,707.
Therefore, the total number of voting rights in the Company is 223,310,686.
The above figure, 223,310,686, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.
