The Weir Group PLC Scrip Dividend Scheme - Additional Listing
 
The Weir Group PLC (the "Company") confirms the allotment and issue of 1,442,865 ordinary shares of 12.5 pence each in the Company (the New Shares), at a price of 2,161.8p per New Share, to shareholders who are participants in the Company's Scrip Dividend Scheme (the Scrip Scheme) in respect of the final dividend for the period ended 31 December 2017. The New Shares issued rank equally with existing issued ordinary shares in the Company.
 
Application has been made to the Financial Conduct Authority for the New Shares to be admitted to the Official List and to the London Stock Exchange for the New Shares to be admitted to trading. Dealings in the New Shares commenced today, 4 June 2018.
 
Details of the Scrip Scheme can be found in The Weir Group PLC Scrip Dividend Scheme Terms and Conditions which are available on the Company's website, www.global.weir.
 
In accordance with the FCA Disclosure Guidance and Transparency Rules (the DTR) we hereby notify that subsequent to this share issue the Company's capital consists of 242,833,656 ordinary shares in issue. The number of ordinary shares held in Treasury is 211,322.
 
Therefore, the total number of voting rights in the Company is 242,622,334.
 
The above figure, 242,622,334, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.
