Update on Loan repayment, Withdrawal of AGM Resolution and Board Change

 

 

Wellnex Life Limited ("Wellnex" or the "Company") (ASX | AIM: WNX), announces
that it has reached an agreement with Mr George Karafotias, former director,
to repay his loan ("Loan") by 21 April 2026. Consequently, resolution 13 at
today's AGM, which relates to the approval of issue of shares to repay the
Loan, has been withdrawn.

 

Further to the Company's announcement on 28 October 2025 regarding Vivienne
Zhang's intention to not stand for election and resign from the Board before
the AGM, the Board confirms that Ms Zhang has now resigned from the Board with
effect from today. Vivienne Zhang did not stand for re-election as a director
at the AGM at her own request, to enable her to focus on her day to day
responsibilities The Board would like to thank Ms Zhang for her contribution
as a Board of director and look forward to continuing working with her as the
Company's Chief Financial Officer.

 

As previously announced, the Board notes that ASX-listed companies do not
typically appoint Finance Directors to the main board. The Company does not
currently intend to seek a replacement Board finance director, but will keep
the position under review, taking into account market governance practices on
the AIM market in the UK.

 

This ASX/AIM announcement has been authorised by the Board of Wellnex Life
