 Transactions in own shares

 WH Smith PLC (the 'Company') announces the purchase, in accordance with the
 authority granted by shareholders at the Company's Annual General Meeting on
 26 January 2024, of 11,000 ordinary shares of 22 6/67 pence each ('Shares') on
 27 September 2024 as part of the buyback programme announced on 23 September
 2024 (the 'Programme').

The Company intends to cancel these shares.

Since the announcement of the programme (the 'Programme'), the Company has
 purchased a total of 54,777 Ordinary Shares.

The Company has 130,858,227 shares in issue . This number represents the total
 voting rights in the Company and may be used by shareholders as the
 denominator for the calculations by which they can determine  if they are
 required to notify their interest in, or a change to their interest in the
 Company under the Financial Conduct Authority's Disclosure Guidance and
 Transparency Rules.
