AIM Rule 17 Schedule 2 (G) Update

 

Windar Photonics plc (AIM: WPHO), the technology group that has developed a
LiDAR wind sensor and software suite designed to efficiently and cost
effectively increase the power output of electricity generating wind turbines,
announces that Non-Executive Director Gavin Manson will move to a temporary,
flexible part-time Executive contract giving flexibility to support the
business as required, with remuneration structured accordingly.

The following information is also being disclosed pursuant to Rule 17 and
Schedule 2, Paragraph (G) of the AIM Rules for Companies as an update to the
information provided in the announcement of Andy Richardson as a Non-Executive
Director of the Company on 19 December 2022.

Andy Richardson was a director of the following organisations at the time of
his appointment to the Company on 19 December 2022:

House BI Limited was restored to the Register of Companies by order of court
on 4 September 2015 and therefore Mr Richardson was reinstated as a director
without his prior knowledge. Mr Richardson has no involvement with the company
and is in the process of formally resigning from the company.

House KTP Limited was restored to the Register of Companies by order of court
on 5 August 2015 and therefore Mr Richardson was reinstated as a director
without his prior knowledge. Mr Richardson has no involvement with the company
and is in the process of formally resigning from the company.

MRX Dormant Company Limited and MRX Dormant Company Seven Limited were
restored to the Register of Companies by order of court on 25 April 2017 and
31 May 2013 respectively, and therefore Mr Richardson was reinstated as a
director without his prior knowledge. Mr Richardson has no involvement with
the company and is in the process of formally resigning from the company.

MRX Dormant Company Two Limited and MRX Dormant Company Three Limited were
restored to the register of Companies by order of court on 24 December 2014
and 27 November 2015 respectively and therefore Mr Ricardson was reinstated as
a director without his prior knowledge. Mr Richardson ceased as a director of
the business upon dissolution on both companies on 11 April 2023 and 13 July
2023 respectively.

Buncher and Haseler Limited was restored to the Register of Companies by order
of court on 12 July 2018 and therefore Mr Richardson was reinstated as a
director without his prior knowledge. Mr Richardson has no involvement with
the company and is in the process of formally resigning from the company.

Andy Richardson, Non-Executive Director of Windar Photonics, resigned as a
Director of Metalrax Group Plc and its subsidiaries on 11 July 2013. The
company and its subsidiaries were put into administration on 11 April 2013 and
were dissolved on 25 October 2018. The total amount distributed to the
unsecured creditors during the liquidation was £480,594.48, which represented
a total distribution of 2.42p in the £.
