Issue of Equity in Lieu of Directors' Fees

 

 

Windar Photonics plc (AIM: WPHO), the technology group that has developed a
LiDAR wind sensor and software suite designed to monitor and optimise wind
turbine performance across multiple turbine platforms, today announces that it
has issued 329,956 new ordinary shares of £0.01 each ("Shares") at a price of
44.43 pence per Share (the "Issue Price") to settle Non-Executive Director
fees due in respect of the 12 months to 31 December 2024. The Issue Price is
calculated as the average of the Company's closing mid-market share price on
the final business day of each calendar month between 1 January 2024 and 31
December 2024.

 

Details of the Shares issued and the fees settled are as follows:

*Additional fees were charged by a company related to Gavin Manson for
temporary executive services in addition to his fees as a non executive
director. These additional fees were settled in cash and do not form part of
this transaction.

 

Total voting rights

 

Application will be made for the admission of the Shares to trading on AIM,
which is expected to become effective on or about 28 February 2025
("Admission").

 

Immediately following Admission the Company will have 96,367,826 Shares in
issue. The Company does not hold any shares in treasury and all of the Shares
have equal voting rights. Therefore, the figures above represent the total
voting rights in the Company and may be used by shareholders as the
denominator for the calculations by which they can determine if they are
required to notify their interest in, or a change to their interest in the
Company under the FCA's Disclosure Guidance and Transparency Rules.
