Vesting of Restricted Share Units, PDMR dealing and issue of new ordinary
shares

Further to the announcement dated 22 February 2023, Windward
(https://windward.ai/)  (LON: WNWD), the leading Maritime AI
company, announces that the 354,543 Restricted Share Units ("RSU") granted to
the Chairman and the Non-Executive Directors have vested in accordance with
the terms of the RSUs.

As set out in the announcement dated 8 December 2022, the Company issued a
total of 2,000,000 Ordinary Shares to IBI Trust Management (the "Pool
Shares"). The Pool Shares are held in trust by IBI Trust Management solely to
be used to satisfy exercise of options and/or vesting of restricted stock
units. Accordingly, 354,543 ordinary shares in the capital of the Company
("Ordinary Shares") have been transferred to the Chairman and the
Non-Executive Directors from IBI Trust Management out of the Pool Shares to
satisfy the settlement of the 354,543 RSUs.
