Vesting of Restricted Share Units and PDMR dealing

Further to the announcement dated 29 September 2022, Windward
(https://windward.ai/)  (LON: WNWD), the leading Maritime AI
company, announces that 3,594 Restricted Share Units ("RSU") granted to Ofer
Segev has vested in accordance with the terms of the RSUs.

As set out in the announcement dated 8 December 2022, the Company issued a
total of 2,000,000 Ordinary Shares to IBI Trust Management (the "Pool
Shares"). The Pool Shares are held in trust by IBI Trust Management solely to
be used to satisfy exercise of options and/or vesting of restricted stock
units. Accordingly, 3,594 ordinary shares of NIS no nominal value in the
capital of the Company ("Ordinary Shares") have been transferred to Ofer Segev
from IBI Trust Management out of the Pool Shares to satisfy the settlement of
the 3,594 RSUs.
