Vesting of Restricted Share Units and PDMR dealing

Further to the announcement dated 22 February 2023, Windward
(https://windward.ai/)  (LON: WNWD), the leading Maritime AI
company, announces that 13,125 Restricted Share Units ("RSU") granted to
Company's Executive Directors and Co-Founder and Head of US, have vested in
accordance with the terms of the RSUs.

 

As set out in the announcement dated 16 February 2024, the Company issued a
total of 3,000,000 Ordinary Shares to IBI Trust Management (the "Pool
Shares"). The Pool Shares are held in trust by IBI Trust Management solely to
be used to satisfy exercise of options and/or vesting of restricted stock
units. Accordingly, 13,125 ordinary shares of NIS no nominal value in the
capital of the Company ("Ordinary Shares") have been transferred to the
Company's Executive Directors and Head of US Business and Co-Founder, from IBI
Trust Management out of the Pool Shares to satisfy the settlement of the
13,125 RSUs.
