GDANSK, March 31 (Reuters) - Polish media group Wirtualna Polska Holding WPL.WA and its key shareholders will launch a voluntary tender offer to buy back all the company's remaining shares at 59 zlotys each, it said on Monday.
The offer represents a 25.5% premium to the stock's closing price on Monday. The agreement does not include any provisions to delist the company from the Warsaw Stock Exchange, Wirtualna Polska said in a regulatory filing.
The buyers will be Wirtualna Polska, which plans to acquire up to 20% of its shares, along with existing shareholders Orfe, 10X and Albemuth
"Our opinion is that the current stock market valuation may not fully reflect the company's value and its prospects," CFO Elżbieta Bujniewicz-Belka said
The offer gives investors a choice to sell their shares or remain with the company for its next stage of development
The plan is subject to shareholder approval at a general meeting
Wirtualna Polska has increased an existing credit facility by 220 million zlotys ($59 million) to help finance the share buyback
