Board changes

 

Xaar plc ("Xaar" or "the Group" or "the Company"), the leading inkjet printing
technology group, announces the appointment of Richard Amos as Non-Executive
Director.

 

Richard joins the Board with effect from 1 June 2023 and on appointment will
replace Chris Morgan as Chair of the Audit Committee and be a member of the
Remuneration and Nomination Committees. In accordance with the Board's
succession plan disclosed in the 2022 Annual Report, Chris Morgan intends to
stand down as a Non-Executive Director of the Company by the end of 2023.

 

Richard is a qualified Chartered Accountant with over 30 years' experience,
having started his career at EY in 1988. From 2000 to 2020, he served as an
executive on the boards of five companies listed on the London Stock Exchange,
most recently as Chief Financial Officer of Wilmington plc, Chief Financial
Officer of Plant Impact plc and Group Finance Director of Anite plc. He is
currently a Non-Executive Director at Thruvision Group plc (AIM: THRU), where
he serves as the Senior Independent Director, Chair of the Audit and
Nomination Committees and is a member of the of the Remuneration Committee.
Richard is also the Non-Executive Chairman of Skillcast Group plc (AIM:
SKL).

 

In 2022 the Board reviewed its succession plan and revised its policy on board
diversity, reinforcing the intention to recruit and maintain a diverse board
with a strong skills mix. The Board plans to recruit a further Non-Executive
Director during 2023 and remains committed to building a diverse board.

immediate impact in taking over as chair of the Audit Committee. The Board

time as chair of Audit during a particularly challenging period and thank him
for his ongoing support during the remainder of his tenure.

 

The Company confirms there is no further information to be disclosed under the
requirements of Listing Rule 9.6.13R in relation to the appointment of Richard
