                          Director/PDMR Shareholding                           

XP Power Limited ("the Company") has today been notified that Mr. Andy Sng,
Executive Director, exercised options over 15,000 ordinary shares of 1p each in
the Company ("Ordinary Shares"), granted on 21 April 2005 under the Company's
Share Option Plan at an exercise price of 411p per Ordinary Share. Following
the transaction, Mr. Sng now has an interest in 21,000 Ordinary Shares,
representing 0.11% of the issued share capital of the Company.
