 * Due to failure to fulfil conditions precedent in strategic purchase 
   agreement, strategic purchase agreement lapsed 
 * Co failed to obtain approval of independent shareholders of strategic 
   purchase agreement and equity transfer agreement 
 * Says "neither party shall have any obligations and liabilities towards each 
   other"
